Your mission

Composable Finance is seeking qualified legal counsel to join us in-house on our growing Legal and Compliance team to become a crucial part of our journey forward. As Legal Counsel you’ll be working closely together with the Global General Counsel and become our in-house expert on contracts, corporate law and governance, global financial laws, securities and investment law, taxation, blockchain and digital assets law, and laws relevant to restructurings, mergers and acquisitions. You will assist in ensuring legal and regulatory compliance to minimize liability and risks to Composable Finance and its affiliated entities.

Your profile

Responsibilities: 

• Give accurate and timely counsel to executives in a variety of legal topics (partnerships, international ventures, corporate finance etc.).
• Specify internal governance policies and regularly monitor compliance.
• Research and evaluate different risk factors regarding business decisions and operations.
• Research and advise on financial regulations worldwide and specifically with regard to tokens or digital assets (crypto).
• Apply effective risk management techniques and offer proactive advice on possible legal issues.
• Communicate and negotiate with external parties (regulators, external counsel, public authority etc.),and  develop relations of trust.
• Draft and solidify agreements, contracts, intellectual property licenses, token sale documents, and other legal documents to ensure the company’s full legal rights.
• Deal with complex matters with multiple stakeholders and forces.
• Provide general legal advice and assistance to the Global General Counsel, department heads as well as C-suite executives.
• Conduct your work with integrity, ethics and responsibility.
• Maintain current knowledge of changes and developments in legislation and regulations worldwide.

Requirements:

• 3+ years of proven experience working as a licensed attorney either in a law firm or as in-house counsel
• Law degree from a reputable law school
• Excellent working knowledge and understanding of general corporate law, governance, securities law, contracts and experience with regulatory compliance matters
• Experience in the restructuring of entities to mitigate risk and taxation.
• Outstanding communication skills.
• Advanced English speaking and writing skills are a must. 
• Flexibility to travel.

Bonus points:

• Work experience in the blockchain industry or crypto space
• Internal compliance or legal counsel work
• Law firm experience is a plus
• High academic performance and standing
• Certifications demonstrating relevant competencies
